Weblumino must consent to engage into a contract (these “Terms of Service”) with us in order to gain access to any websites that are under its management. The websites run or controlled by Weblumino that are governed by separate Terms of Service are not included in the Sites. Please carefully read these Terms of Service. By using the Sites, you consent to the conditions of this legal contract. You are not permitted to use the Sites and you must stop using all of the Sites immediately if you disagree with these Terms of Service. In the event that these Terms of Service conflict with any other written contract between Weblumino and any business.
1. Payment Terms
Website Design & Development
- A 50% advance payment is required before the commencement of any website design or development project.
- The remaining 50% balance must be paid before the website is migrated to the client’s live server, handed over, or ownership is transferred.
- Weblumino LLP reserves the right to withhold deployment, source code, website files, login credentials, hosting migration, or ownership until full payment has been received.
SEO, Google Ads, Meta Ads & Other Digital Marketing Services
- 100% advance payment is required before the commencement of any SEO, Google Ads, Meta Ads, Social Media Marketing, Local SEO, Google Business Profile Optimisation, Content Marketing, Website Maintenance, or any other digital marketing service.
- Monthly services are payable in advance and must be renewed before the next billing cycle.
- Failure to make payment may result in suspension or termination of services without prior notice.
2. Advance Payment
Payment of the advance amount confirms that the client has read, understood, and accepted:

3. Refund Policy
Website Design & Development
- If work has not commenced, the advance payment shall be refunded in full.
- Once work has commenced, the 50% advance payment becomes non-refundable.
- Any work completed prior to cancellation shall remain chargeable.
SEO, Google Ads, Meta Ads & Digital Marketing
100% advance payment becomes non-refundable once work has commenced.
Refunds shall not be issued based upon:
- Rankings
- Leads
- Enquiries
- Sales
- ROI
- Google Algorithm Updates
- Meta Policy Changes
- Competition
- Client Expectations
Third-party expenses including domains, hosting, SSL certificates, plugins, themes, advertising spend, premium software, APIs, and licences are strictly non-refundable.
4. Scope of Work
The quotation includes only the services specifically mentioned therein.
Additional work, revisions beyond the agreed scope, integrations, extra pages, or new functionality shall be quoted separately.
5. Project Timeline
Project completion depends upon:
- Project complexity
- Client approvals
- Availability of content
- Industry competitiveness
- Website condition
- Third-party services
- Search engine algorithm changes
Any delays caused by the client automatically extend project timelines.
6. Client Responsibilities
The client shall provide timely access to:
- Website CMS
- Hosting
- Domain Registrar
- FTP/cPanel
- Google Analytics
- Google Search Console
- Google Business Profile
- Google Ads
- Meta Business Manager
- Social Media Accounts
- Logos
- Images
- Content
- Brand Assets
Weblumino LLP shall not be responsible for delays caused by incomplete information or delayed access.
7. Website Design & Development
This section applies only to Website Design & Development projects.
Until full payment has been received, all:
- Website Designs
- Source Code
- Databases
- Graphics
- UI/UX Designs
- Development Files
- Staging Websites
- Backups
remain the exclusive intellectual property of Weblumino LLP.
Ownership transfers only after full payment has been received.
8. Website Cancellation & File Removal
If the client cancels or terminates a website design project after work has commenced:
- Development shall cease immediately.
- Outstanding invoices remain payable.
- Advance payments remain non-refundable.
- Weblumino LLP may permanently remove:
- Development Websites
- Staging Websites
- Source Code
- Databases
- Graphics
- Design Files
- Server Files
- Backups
- Development Environments
Weblumino LLP shall have no obligation to retain project files after cancellation.
Removal of project files shall not imply that no work was performed.
9. Official Communication & Project Records
Official communication may take place through:
- Written Project Management Platforms
These communications shall constitute the official project record and may be relied upon as evidence of:
- Instructions
- Website Preview Links
- Deliverables
- Progress Updates
- Approvals
- Revision Requests
- Payment Discussions
- Suspension
- Cancellation
- Completion
Where project files have subsequently been removed, such communication records shall remain valid evidence of work performed.
10. SEO & Digital Marketing Disclaimer
Weblumino LLP does not guarantee:
- Google Rankings
- First Page Rankings
- Leads
- Sales
- Revenue
- ROI
- Website Traffic
- Business Growth
Performance depends upon competition, budget, website quality, customer demand, market conditions, search engine algorithms, advertising platform policies, and other factors beyond our control.
11. Monthly Services
SEO, Google Ads, Meta Ads, and other recurring digital marketing services operate on a monthly billing cycle.
Failure to renew payment before the due date may result in:
- Suspension of Services
- Pausing of Campaigns
- Removal of Optimisations
- Termination of Services
12. Intellectual Property
All website designs, source code, graphics, reports, marketing strategies, content, documents, and creative assets remain the intellectual property of Weblumino LLP until all outstanding invoices have been paid in full.
13. Confidentiality
Both parties agree to keep confidential all:
- Business Information
- Credentials
- Marketing Strategies
- Reports
- Pricing
- Customer Data
- Commercial Information
unless disclosure is required by law.
14. Limitation of Liability
Weblumino LLP shall not be liable for:
- Search Engine Algorithm Updates
- Hosting Failures
- Domain Expiry
- Cyber Attacks
- Plugin Conflicts
- Third-party Service Failures
- Business Loss
- Loss of Revenue
- Consequential Damages
The maximum liability of Weblumino LLP shall not exceed the amount paid by the client for the relevant service.
15. Force Majeure
Weblumino LLP shall not be liable for delays or failure to perform obligations due to events beyond its reasonable control, including natural disasters, internet outages, cyber attacks, pandemics, government restrictions, labour disputes, war, or failures of third-party services.
16. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by the laws of India.
Any dispute arising under this agreement shall be subject exclusively to the jurisdiction of the competent courts of Delhi, India.
17. Acceptance
The client shall be deemed to have accepted these Terms & Conditions upon:
- Payment of any advance amount.
- Acceptance of the quotation.
- Approval of the proposal.
- Issuance of a purchase order.
- Instructing Weblumino LLP to commence work.
Such acceptance confirms agreement with these Terms & Conditions, Refund Policy, Privacy Policy, quotation, and invoice.
18. General Provisions
- Weblumino LLP reserves the right to refuse, suspend, or terminate services where the client engages in unlawful, abusive, fraudulent, or unethical conduct.
- The client warrants that all content, logos, images, trademarks, and other materials supplied are owned by or licensed to the client.
- Unless expressly included in the quotation, ongoing maintenance, content updates, hosting management, software updates, backups, and technical support are not included.
- These Terms & Conditions, together with the quotation, proposal, and invoice, constitute the entire agreement between the client and Weblumino LLP.
